Public Offer for Smart Indexes Products

Terms and Definitions

User — an individual acting in their own interests or in the interests of a company to perform analytical tasks on the map using the tools provided within the product.

Client Device — any device based on Windows, macOS, iOS or Android operating systems, used by the User to access the product.

Token — a unique authentication key that grants access to the product and its features for commercial or analytical purposes, as determined by the selected tariff plan.

Geoanalytics — a method of analyzing geographic data to derive actionable insights and make informed decisions. It combines Geographic Information Systems (GIS), analytical tools, and big data to study spatial patterns, trends, and relationships. The GeoAnalytics product integrates cartographic visualization and tabular data analysis to assist in evaluating development projects and investment opportunities in Dubai's real estate market.

Use Cases — typical scenarios for applying the GeoAnalytics product to solve industry-specific tasks for stakeholders such as financial institutions (banks, investment funds), private investors, real estate agencies, developers, insurance companies, and other business entities seeking property solutions based on multi-factor location analysis.

General Provisions

1. The developer, Smart Indexes, provides the GeoAnalytics product as a source of analytical data on developers and real estate projects in Dubai. The product is intended to support independent market assessments and facilitate investment decisions.
2. Smart Indexes ensures the confidentiality of user queries, does not collect personal data, and continuously improves the product to address user analytical needs.

Smart Indexes Products

Smart Indexes provides analytical and geospatial services that include the following products:

• Smart Analytics — a set of tools for independent data analysis (statistical and analytical) covering the Emirate of Dubai (UAE) in real time, including:
  • real estate calculators (mortgage calculator, property value calculator, ROI calculator);
  • real estate market analytics dashboard for the Emirate of Dubai (UAE);
  • comparative CMA analysis of developers and brokerage firms;
  • reputation ratings of the Dubai real estate market.
• GeoAnalytical Maps of Dubai — tools for spatial analysis of the region based on cartography and thematic data layers, including geophysical, administrative, price, risk, and transport accessibility factors.
• Due Diligence — detailed property reports designed to support research and investment decision-making.
• AI Real Estate Agent — an intelligent assistant that provides users with insights and guidance on property selection and the Dubai real estate market.
• Smart Indexes API — a programmatic interface that enables commercial access to Dubai real estate market analytics via API.

Smart Indexes products are offered on both a freemium basis (calculators, ratings) and a paid basis (dashboard, Due Diligence, AI Agent, Smart Indexes API).

Access to GeoAnalytics

Users are provided with the following functionalities:

1. An intuitive web interface with natural language processing (NLP) capabilities for searching developers and projects on the map.
2. Advanced tools for risk assessment and price indexing to identify optimal investment opportunities.

Use License and Restrictions

The product is licensed to Users under the following conditions:

1. Users are granted a temporary, non-transferable license to access and use the product exclusively for their personal or professional tasks as specified by their tariff plan.
2. Users are prohibited from:
   1. modifying or reproducing the product's materials;
   2. using the product for purposes that compete with Smart Indexes without explicit authorization;
   3. attempting to reverse-engineer, decompile, or interfere with the product's functionality;
   4. transmitting harmful software or content via the product;
   5. violating the intellectual property rights of Smart Indexes or its partners.
3. Smart Indexes reserves the right to suspend or terminate access to the product if a User violates these terms.

Payment Terms

Terms related to subscription payments:

1. Payments are securely processed through the partner bank system.
2. Transaction details are documented in the User's "Payment History" section within the product interface.

Limitation of Liability

1. Smart Indexes provides the GeoAnalytics product "as is" and disclaims any guarantees of uninterrupted operation or accuracy of the data.
2. Smart Indexes is not liable for:
   1. decisions made based on the information provided by the product;
   2. indirect, consequential, or financial losses arising from the use or inability to use the product;
   3. any damages caused by viruses or technical failures related to accessing the product.

Service Nature

The API is provided "as is" — without warranties of any kind. We do not guarantee performance, accuracy, availability, or fitness for a particular purpose. Use of the API is at your own risk.

Access & Authentication

Access is granted privately via a unique authentication token provided to each client. Tokens are not tied to specific IP addresses. All usage limits and billing are linked to the token itself.

Usage Limits

API access is subject to request limits as defined in your pricing tier:

• Daily requests: Limited based on your plan
• Monthly requests: Total monthly volume is capped
• Overages: May result in throttling or additional charges

You are responsible for monitoring your usage via your dashboard or usage endpoint.

Billing

Billing is based on the number of requests made using your token, calculated daily and monthly. Your selected pricing tier determines the base limits. Overage fees may apply.

No refunds are issued for unused quotas. Pricing is subject to change with prior notice.

Payment for services

Payment for services is made through the payment systems specified in the product interface, as well as by issuing a SWIFT invoice for geoanalytical services and Smart Indexes products.

Availability & Support

While we aim for high availability, we do not guarantee uninterrupted access. Support is available depending on your selected plan. Resolution times may vary.

Modifications & Termination

We reserve the right to modify, limit, or discontinue the API service at any time without liability. Access may be revoked in cases of abuse, fraud, or violation of terms.

Data & Privacy

We do not collect or store client IP addresses. Token-based tracking is used solely for analytics, abuse detection, and usage monitoring — with no personal identification.

Changes to Terms

We may update these Terms of Service at any time. Continued use of the API after changes indicates acceptance of the updated terms.

Acceptance of these terms

You acknowledge that you have read this Public offer and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Public offer. If you do not agree to abide by the terms of this Public offer, you are not authorized to access or use the Website and associated product GeoAnalytics.

Modifications & Updates

Smart Indexes reserves the right to revise the terms of this Public Offer and the functionality of the GeoAnalytics product at any time without prior notice. Continued use of the product constitutes acceptance of the revised terms.

Applicable Law and Dispute Resolution

This Public Offer is governed by Georgian law.

The parties strive to resolve any potential disagreements or claims based on the principles of good faith, beneficial cooperation, and mutual respect.

If disagreements cannot be resolved peacefully, they will be resolved in accordance with the procedure established by Georgian law.
